Snap Account Migration Terms

ARBITRATION NOTICE: YOU ARE BOUND BY THE ARBITRATION PROVISION SET FORTH IN THE BUSINESS SERVICES TERMS. IF YOU ARE CONTRACTING WITH SNAP INC., THEN YOU AND SNAP INC. WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Introduction

These Snap Account Migration Terms (“Account Migration Terms”) form a legally binding contract between you and Snap, and govern your use of Snap’s Account migration feature (“Migration Feature”). These Account Migration Terms are incorporated into the Business Services Terms. Some terms used in these Account Migration Terms are defined in the Business Services Terms. The Migration Feature is one of the Business Services.

1. Migration Feature

Snap’s Migration Feature enables transfer of certain information, data, and content (“Migration Assets”) from an originating account owned by one individual or entity (“Source Account”) to a target account which may be owned by another individual or entity (“Target Account”). If the Source Account owner requests a transfer, and the Target Account owner accepts that transfer, Snap may transfer any eligible Migration Assets at its sole discretion.

2. Source Account

a. If you are the owner of a Source Account:

i. If you cannot comply with these Account Migration Terms in full with respect to all proposed Migration Assets, you must not request the transfer of the Migration Assets.

ii. You represent and warrant that you have secured and will maintain all necessary rights, licences, and consents required (including from any applicable data subjects (as defined in the Business Services Terms), and where required to comply with Applicable Law) for the Migration Assets to be transferred to the Target Account by Snap.

3. Target Account

a. If you are the owner of a Target Account:

i. You will receive a request to approve the transfer of the Migration Assets from the Source Account. 

ii. Upon approval of the request from the Source Account, you will be fully liable and responsible to Snap under the Business Service Terms for the Migration Assets as if you had approved, supplied, made available or enabled Snap to receive those Migration Assets yourself in place of the owner of the Source Account. Accordingly, all representations, warranties and undertakings and other obligations of “you” relating to the Migration Assets under the Business Service Terms (including those relating to the collection, provision, or making available of the Migration Assets pursuant to the Business Service Terms) shall be construed as your respective representations, warranties and undertakings and other obligations, as the owner of the Target Account (and not of Snap, or any third party).

iii. You acknowledge and agree that immediately upon your approval of the request from the Source Account, you are responsible for all Charges from that point onwards (as defined in the Payment Terms). 

iv. If you cannot comply with these Migration Terms in full with respect to all proposed Migration Assets, you must not agree to the transfer of that information, data or content, as applicable. 

b. Some Migration Assets may not function unless or until additional steps, reconfiguration, reauthentication, or other requirements are completed by you within specified timeframes. Certain Migration Assets may also require additional setup, accounts, permissions, or arrangements with applicable providers or partners. No Migration Assets will be transferred unless a valid payment method has been added to the Target Account.

4. Entire Agreement

These Migration Terms set forth the entire understanding and agreement between you and Snap with respect to your use of the Migration Feature, and supersede all other agreements between you and Snap regarding the Migration Feature.
