Snap Inc. and its affiliates (“Snap”) hereby grant to you a worldwide, limited, non-exclusive, non-transferable, no-charge, royalty-free, non-sublicensable, revocable license (the “License”) to access, use, modify, create derivate works of, publicly perform, publicly display, and distribute the Lens Studio templates, software, tools, specifications, documents, and any other files accompanying or referencing this License (collectively, the “Lens Template”), subject to the following terms, conditions, and restrictions:

1. Your access to and use of the Lens Template constitutes your acceptance of this License and its terms and conditions. If you do not agree to all of the terms contained in this License do not download, install, access, or use the Lens Template and uninstall and delete any copies. This License may be modified or updated by Snap; upon any such modification or update, you will comply with the terms of the updated License for any use of the Lens Template.

2. You will only access and use the Lens Template with Snap’s software product Lens Studio, available at https://lensstudio.snapchat.com, for you to create, use, and distribute: (i) computer-generated video or graphic elements that individuals can use to transform images or videos by altering or superimposing such elements on images or videos (“Lens” or “Lenses”), in accordance with the Lens Studio License Agreement, and (ii) derivative or modified versions of the Lens Template that allows individuals to create Lenses using Lens Studio (each a “Modified Lens Template”). This License may not be used for any other purpose than the creation, use, and distribution of Lenses, the Lens Template, and any Modified Lens Templates. No other exercise of the License granted herein is permitted, and in no event may the Lens Template or any Modified Lenses Templates be used for competitive analysis or to develop a competing product or service. Neither this License nor any exercise of the License granted herein modifies the Lens Studio software license in any way.

3. You may redistribute the Lens Template provided that the following conditions are met:

a. Redistributions must include all components of the Lens Template including any materials and/or documents provided with the original distribution from Snap.

b. Redistributions must retain the above copyright notice and any other copyright notice associated with the Lens Template, in all substantial portions of the Lens Template and derivative works thereof (or, if that is impracticable, in any other location where such notices are customarily placed).

c. Redistributions must retain and include a link to this License and a complete and unmodified copy of the short form license that references and links to this License. You may not repackage or bundle the Lens Template with any other software.

4. You will only access, use, and distribute any Modified Lens Templates subject to and in compliance with the terms of the License.

5. You acknowledge and agree that if the Lens Template includes or is accompanied by any “third-party notices,” terms or similar file, the software identified in that file is governed by those separate license terms identified in such files.

6. Your use of the Lens Template must at all times be in compliance with all applicable laws (including patent, trademark, copyright, and any other proprietary or intellectual property right).

7. If you provide any comments, suggestions, ideas, improvements, or feedback about the Lens Template or any Modified Lens Templates (collectively, “Feedback”), Snap (and those Snap allows) may use such Feedback for any purpose, without restriction or obligation to you.

8. You own and will keep ownership of your content and property. Unless otherwise agreed in writing by Snap, you acknowledge and agree that your use of the Lens Template is only for use with content and property generated and owned by you or with materials or works you are authorized or legally permitted to copy or reproduce.  YOU ARE AND WILL REMAIN SOLELY RESPONSIBLE FOR YOUR USE OF THE LENS TEMPLATE AND YOUR CONTENT.

9. While you keep all right, title, and interest to your content per the above, as between Snap and you, Snap owns and will keep all right, title, and interest to its property and all intellectual property rights (i.e., patent, trademark and copyright) contained therein, including the Lens Template and derivative works of the Lens Template. You agree to waive or refrain from asserting any author’s right, moral rights, or like rights to the Lens Template and any other Snap property contained therein.  The Lens Template is licensed, not sold.

10. SNAP IS PROVIDING THE LENS TEMPLATE “AS-IS” AND THE USE OF IT IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SNAP DISCLAIMS ALL WARRANTIES OF ANY KIND (E.G., EXPRESS, IMPLIED, STATUTORY) INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, OR WARRANTIES ARISING OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE. SNAP DOES NOT MAKE ANY REPRESENTATIONS OR WARRANTIES THAT THE LENS TEMPLATE OR THE USE OF THE LENS TEMPLATE WILL BE UNINTERRUPTED, CONTINUE TO EXIST, RELIABLE, ACCURATE, MEET YOUR REQUIREMENTS, TIMELY, SECURE, OR ERROR FREE.

11. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SNAP IS NOT RESPONSIBLE NOR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, DATA OR PROFIT, OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE LENS TEMPLATE OR YOUR USE OF THE LENS TEMPLATE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

12. Unless otherwise approved in writing by Snap or as permitted by Snap under this License, you may not use or combine the Lens Template with software offered under an open source license in such a way that would cause the Lens Template to be subject to any obligations under such open source license.

13. Snap may provide you with upgrades, updates, or modifications for the Lens Template in Snap’s sole discretion. You understand and agree that all such upgrades, updates, or modifications will form a part of the Lens Template.

14. You will not use the name, logo(s), or other identifying information or image of Snap Inc. or the name(s), logo(s), or other identifying information or image (s) of other contributors (including any affiliates of Snap), including to endorse or promote products or services derived from the Lens Template, without prior specific written permission.

15. You will not disassemble, decompile, reverse engineer, or use any other means to derive any source code or other protected works in the Lens Template (except to the extent applicable laws specifically prohibit such restrictions) including any ideas, algorithms, structure, or organization therein contained.

16. You will not remove or alter any of the proprietary or copyright notices contained in the Lens Template or any component thereof.

17. You will not use the Lens Template for the purpose of identifying or providing evidence to support any potential patent infringement claim against Snap or any affiliates of Snap.

18. Snap reserves the right at any time and from time to time to terminate, suspend, revoke, modify, or discontinue, temporarily or permanently, your access to and/or use of the Lens Template (or any part thereof) with or without notice. Snap will not be liable to you or to any third-party for any modification, suspension, or discontinuance of the Lens Template.

19. Any failure by you to comply with the terms and conditions of this License (including any breach by you of this License) or your commencement of any form of patent litigation, including a cross-claim or counterclaim, against anyone wherein you allege that the Lens Template constitutes direct or secondary/indirect patent infringement automatically terminates this License with immediate effect and without notice to you.

20. This License does not establish any agency, partnership, or joint venture between you and Snap. The failure of Snap to exercise or enforce any right or provision of this License will not constitute a waiver of such right or provision. If any provision of these Terms is held to be contrary to law or not enforceable, such provision will be deemed deleted and the rest of this License will remain in effect.

21. This License and any action related to it will be governed by the laws of the State of California, without giving effect to any conflicts-of-laws principles. Any disputes related to or arising from this license must be brought exclusively in the United States District Court for the Central District of California, but if that court would lack original jurisdiction over the litigation, then the Superior Court of California, County of Los Angeles, will be the exclusive forum to resolve the litigation.

22. This License sets forth the entire understanding and agreement of the parties and supersedes all other agreements between the parties with respect to the subject matter hereof.
